Terms of Service

By accessing or using our website or services, you agree to be bound by these Terms. If you are agreeing on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you must not access or use our services. These Terms should be read in conjunction with our Privacy Policy.

NGPS provides cloud-based parking management software under the Logiclots brand, including:

• Logiclots Public Parking — reservation management and white-label tenant platform for parking operators.
• Logiclots Valet Management — valet operations, driverless drop-off coordination, and fleet management.
• Logiclots Parking Enforcement — violation detection, digital citation issuance, and compliance management.

Services are provided on a software-as-a-service (SaaS) basis. Access to the platform is through web-based applications hosted at publicadmin.logiclots.com and related subdomains.

Beta Features.We may offer certain features or functionality on a preview or beta basis. Beta features are provided "as is" with no warranty and may be modified or discontinued at any time without notice.

To use our services, you must create an account through our platform at publicadmin.logiclots.com. You agree to:

• Provide accurate and complete registration information.
• Maintain the security of your account credentials.
• Promptly notify us of any unauthorized use of your account.
• Accept responsibility for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that are used for unauthorized purposes.

Plans and Pricing. Our services are offered in tiered subscription plans (Starter, Professional, and Enterprise). Current pricing is displayed on our Pricing page. Prices are subject to change with 30 days' notice. For active subscribers, notice will be provided via email to the address on file and by updating the pricing page. Continued use of the service after the effective date of a price change constitutes acceptance of the new pricing.

Free Trial. Starter plans include a 14-day free trial. You will not be charged during the trial period. If you do not cancel before the trial ends, your subscription will automatically convert to a paid Starter plan at the then-current monthly rate as displayed on our Pricing page at the time of conversion. You will be charged the applicable amount on file.

Billing Cycle. Subscriptions are billed either monthly or annually, based on your selected plan. Annual subscriptions receive a discount as displayed at the time of purchase.

Auto-Renewal. Your subscription will automatically renew at the end of each billing period (monthly or annual) at the then-current rate unless you cancel before the renewal date. You may cancel at any time from your account dashboard. For annual subscriptions, we will send a reminder email at least 30 days before the renewal date.

Payment Processing.Payments are processed by Stripe. By subscribing, you agree to Stripe's terms of service.

Cancellation. You may cancel your subscription at any time through your account dashboard. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for partial billing periods. Enterprise agreements may have separate cancellation terms.

Annual Renewal. For annual subscriptions, we will notify you by email at least 30 days before the renewal date. If you did not intend to renew and contact us within 7 days of the renewal charge, we will consider refund requests on a case-by-case basis. We cannot guarantee refunds after this window.

Refund Policy. If you are unsatisfied within the first 14 days of a paid subscription (outside of a free trial), you may request a full refund by contacting our support team.

You agree not to use our services to:

• Violate any applicable laws or regulations.
• Infringe on the intellectual property rights of others.
• Transmit viruses, malware, or other harmful code.
• Attempt to gain unauthorized access to our systems, other users' accounts, or connected networks.
• Interfere with or disrupt the integrity or performance of our services.
• Scrape, data-mine, or reverse-engineer our software.
• Use automated tools to access our services without our written consent, except through our published APIs.
• Misrepresent your identity or affiliation with any person or entity.
• Use our services if you are subject to any applicable trade sanctions or export control laws, including those maintained by the U.S. Office of Foreign Assets Control (OFAC).

Our IP. The Logiclots platform, including all software, designs, logos, trademarks, documentation, and content, is owned by NGPS and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the services during your subscription term.

Your Data. You retain all rights to data you upload to or generate through our platform. You grant us a limited license to process, store, and display your data solely to provide the services to you.

Feedback. If you provide feedback, suggestions, or feature requests, we may use them without obligation to compensate you.

Our collection and use of personal data is governed by our Privacy Policy. By using our services, you acknowledge that you have read and understood our Privacy Policy.

For customers processing personal data of individuals subject to GDPR, a Data Processing Agreement (DPA) is available upon request regardless of subscription tier. Contact us at ops@ngparkingsolutions.com to request a DPA.

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• The services will be uninterrupted, timely, or error-free.
• Results obtained from the services will be accurate or reliable.
• Any defects in the services will be corrected within a specific timeframe.

Service Availability. While we target 99.9% monthly uptime for the Logiclots platform, we do not guarantee any specific level of availability. Scheduled maintenance will be announced at least 48 hours in advance via our status page or email notifications. Enterprise customers may request SLA terms in their separate agreements.

NGPS shall not be liable for any failure or delay in performance resulting from circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, failure of third-party service providers (including hosting and payment infrastructure), cyberattacks, or labor disputes. We will resume performance as soon as reasonably practicable and notify affected customers.

To the maximum extent permitted by applicable law, NGPS and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business, or goodwill, arising from or related to your use of our services.

Our total liability for any claims arising from or related to these Terms or your use of the services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

You agree to indemnify, defend, and hold harmless NGPS and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use of our services.
• Your violation of these Terms.
• Your violation of any rights of a third party, including intellectual property rights.
• Any data you upload to or process through our platform.

By you. You may stop using our services and cancel your subscription at any time through your account dashboard.

By us.We may suspend your access to the services if you fail to pay subscription fees within 10 days of a failed payment attempt, or immediately if you materially breach these Terms, violate applicable laws, or if continued service would be impractical or illegal. We will provide 10 days' written notice before termination for non-payment.

Effect of termination. Upon termination, your right to use the services ceases immediately. We will make your data available for export for 30 days after termination, after which it may be permanently deleted.

Before initiating formal legal proceedings, both parties agree to attempt to resolve disputes informally by providing written notice of the dispute and allowing 30 days to negotiate in good faith. Either party may seek injunctive relief in court at any time to prevent irreparable harm.

These Terms are governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict-of-law principles.

Any disputes arising from these Terms or your use of the services shall be resolved exclusively in the state or federal courts located in Fulton County, Georgia. You consent to the personal jurisdiction of such courts.

We reserve the right to modify these Terms at any time. Material changes will be communicated by posting the updated Terms on this page with a revised "Last updated" date. For subscribers, we will provide 30 days' notice of material changes via email.

Continued use of our services after changes take effect constitutes acceptance of the modified Terms.

Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and NGPS regarding the subject matter herein, and supersede all prior agreements and understandings.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver. Failure to enforce any right under these Terms shall not constitute a waiver of that right in the future.

Assignment.You may not assign your rights under these Terms without NGPS's written consent. NGPS may assign these Terms in connection with a merger, acquisition, or sale of assets.
